End User License Agreement

PLEASE READ THIS END USER LICENSE AGREEMENT ("EULA") CAREFULLY BEFORE DOWNLOADING OR USING THE MEDACE MOBILE APPLICATION ("APP").

By downloading, installing, or using the App, you agree to be bound by the terms and conditions of this EULA. If you do not agree to these terms, do not download or use the App.

1. License Grant

Subject to your compliance with the terms and conditions of this EULA, Medace grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on a mobile device that you own or control, solely for your personal, non-commercial use.

This license does not grant you any ownership rights in the App. The App is licensed, not sold.

2. Restrictions

You may not:

  • Copy, reproduce, distribute, or publicly display the App except as expressly permitted in this EULA
  • Modify, adapt, translate, reverse engineer, decompile, or disassemble the App or any part of it
  • Create derivative works based on the App
  • Rent, lease, loan, or otherwise transfer the App to any third party
  • Use the App for any commercial purpose without our prior written consent
  • Remove any copyright, trademark, or other proprietary notices from the App
  • Circumvent any technological protection measures designed to restrict use of the App
  • Use the App on any device other than your personal mobile device(s)
  • Share your account credentials to allow others to access the App
  • Use automated scripts or tools to access or use the App

3. Ownership

The App, including all intellectual property rights therein (such as copyrights, trademarks, trade secrets, and patents), is owned by Medace or its licensors. All rights not expressly granted to you in this EULA are reserved by Medace.

The App may contain third-party components that are protected by the intellectual property laws of the respective owners. Your use of such components is subject to the additional terms and conditions of those third parties.

4. Updates

We may from time to time provide updates, enhancements, or bug fixes to the App. These updates may be automatically downloaded and installed on your device. By allowing automatic updates, you agree to receive such updates and to be bound by any new or additional terms that may accompany them.

It is your responsibility to keep your device compatible with the latest version of the App. We may cease support for older versions at any time.

5. Termination

This EULA is effective until terminated by you or Medace. Your rights under this license will terminate automatically without notice if you fail to comply with any of the terms and conditions of this EULA.

Upon termination, you must cease all use of the App and uninstall it from your device(s). The provisions of Sections 2, 3, 6, 7, 8, and 9 shall survive any termination of this EULA.

6. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE
  • IMPLIED WARRANTIES OF NON-INFRINGEMENT
  • WARRANTIES THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS

WE DO NOT WARRANT THAT THE APP WILL MEET YOUR REQUIREMENTS OR THAT ANY DEFECTS WILL BE CORRECTED. YOU ASSUME FULL RESPONSIBILITY FOR SELECTING THE APP FOR YOUR PURPOSES.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEDACE SHALL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES) ARISING OUT OF OR RELATED TO:

  • YOUR USE OR INABILITY TO USE THE APP
  • ANY INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SERVICE
  • ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
  • ANY TRANSACTIONS CONDUCTED THROUGH THE APP
  • ANY LOST PROFITS, BUSINESS INTERRUPTION, OR LOSS OF DATA

MEDACE'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING FROM OR RELATING TO THIS EULA OR THE APP SHALL NOT EXCEED THE AMOUNT (IF ANY) PAID BY YOU TO MEDACE DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENTS GIVING RISE TO SUCH LIABILITY.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

8. Indemnification

You agree to indemnify and hold harmless Medace and its affiliates, officers, agents, and employees from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt (including reasonable attorneys' fees) arising from:

  • Your use of and access to the App
  • Your violation of any term of this EULA
  • Your violation of any third-party right, including any copyright, trademark, trade secret, or other proprietary or intellectual property right
  • Any claim that your use of the App caused damage to a third party

9. User Content License

While we do not solicit user-generated content, certain features may allow you to submit information (such as profile data, forum posts, or comments). By submitting such content, you grant us a worldwide, non-exclusive, royalty-free, perpetual, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such content in any media, now known or hereafter devised, for the purpose of operating and improving our services.

You represent and warrant that you own or have all necessary rights to submit such content and that it does not infringe upon any third-party rights.

10. Export Compliance

The App may be subject to export control laws and regulations. You agree to comply with all applicable export control laws and regulations, including the U.S. Export Administration Regulations and the import/export laws of other countries. You may not export, re-export, or transfer the App to any prohibited destination or to any person or entity on restricted lists.

11. Governing Law

This EULA shall be governed by and construed in accordance with the laws of [Your Jurisdiction - e.g., State of Delaware, United States], without regard to its conflict of law principles.

Any dispute arising from this EULA shall be resolved exclusively in the courts located in [Your Jurisdiction], and you consent to the personal jurisdiction of such courts.

12. App Store and Google Play Terms

Your use of the App obtained from the Apple App Store or Google Play Store is also subject to the applicable terms and conditions of those platforms. In the event of any conflict between this EULA and the platform's terms, this EULA shall govern with respect to the licensed use of the App, but the platform's terms shall govern with respect to the purchase transaction, in-app purchases, and the relationship between you and the respective platform.

13. Severability

If any provision of this EULA is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent possible.

14. Entire Agreement

This EULA constitutes the entire agreement between you and Medace regarding the App and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and Medace.
